These Terms & Conditions (“Terms”) govern your use of this website and your business dealings with AL Dar Holding FZCO (trading as Al-Dar Apparel) (“Al-Dar”, “we”, “us”). By accessing our website or contacting us, you agree to these Terms.

1. Website use and purpose

Our website is for B2B information and inquiries. We do not sell products online and do not accept online payments through the website.

You agree not to misuse the website, attempt unauthorized access, or interfere with its operation.

2. Quotes and pricing

  • Quotes are issued based on the specifications you provide (product, fabric, trims, sizing, branding, packaging, quantities, and delivery terms).
  • Quotes are valid for 14 days unless stated otherwise in writing.
  • Prices and timelines may change if specifications change or if costs change outside our reasonable control (materials, supplier availability, exchange rates, freight conditions, etc.).

3. Order confirmation and approvals

  • An order is confirmed only when specifications, quantities, timeline, and commercial terms are agreed in writing(email or WhatsApp confirmation is acceptable).
  • You are responsible for reviewing and approving key items before production, including measurements, fabric/trim choices, branding placement, packaging details, and final specifications.

4. Deposits and production start

  • A deposit may be required depending on the project scope and customer profile.
  • Sampling and/or production begins only after written confirmation and any required deposit (if applicable).
  • Changes after confirmation may affect pricing, timelines, and feasibility.

5. Final production review, approval, payment, and shipment

  • Before shipment, we will provide a Final Production Review for customer approval. This review may be completed through one of the following methods:
    1. Physical review pack (default): We courier one finished piece from bulk production per design/style(the “Final Production Review Pack”) for the customer to inspect; or
    2. In-person inspection at our facility (by the customer or their representative); or
    3. Third-party inspection arranged by the customer or mutually agreed.
  • The customer must confirm approval or raise any issues within 3 business days of receiving the Final Production Review Pack (or receiving the inspection results, where options 2 or 3 are used). If no response is received within this period, the goods will be treated as approved.
  • The final balance is due after approval of the Final Production Review.
  • Shipment and/or release of shipping documents will be withheld until the full balance is received.
  • If the customer requests changes after final review, any rework, replacements, delays, or additional courier/shipping costs may be charged and timelines may be adjusted.

6. Intellectual property

  • Website content (text, visuals, logos) belongs to Al-Dar or its licensors and may not be used without permission.
  • You confirm you own or have the right to use any designs, artwork, logos, and brand assets you provide.
  • You grant Al-Dar a limited right to use your assets solely to manufacture your order and prepare related approvals.

7. Third-party services and logistics

Where needed, we may coordinate with third-party providers (e.g., logistics partners, couriers, inspection services). We are not responsible for delays or failures caused by third parties beyond our reasonable control.

8. Disclaimers

The website is provided on an “as is” basis. Any images, examples, or descriptions are illustrative. Final outcomes depend on approved specifications, materials, and production conditions.

9. Limitation of liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential losses (including loss of profits or business).
  • Any direct liability relating to a claim is limited to the amount paid for the specific goods/services giving rise to the claim.

10. Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including supplier disruption, shipping delays, customs processes, inspections, strikes, or government actions.

11. Governing law

These Terms are governed by the laws of Dubai, United Arab Emirates, and the courts of Dubai shall have jurisdiction unless otherwise agreed in writing.
